Abstract
On May 3, 1881, a committee appointed by the Board of Managers of Christ Church Chapel—M. Russell Thayer, Thomas Hewson Bache, and Francis A. Lewis Jr.—addressed the Rector, Church Wardens, and Vestrymen of Christ Church in Philadelphia. They conveyed resolutions unanimously adopted at a meeting of the Board of Managers held at the Chapel on April 29, 1881 [p.1]. The committee expressed the Managers' embarrassment arising from the "general, vague and undefined character" of the powers conferred upon them by a Vestry resolution of February 9, 1876, and requested a more explicit statement of their powers and duties [p.2-3]. They emphasized that the Chapel is an integral part of Christ Church, subject to the paramount authority and control of the Corporation, and that the Managers act only as agents of the Corporation for "the management of the affairs and interests of Christ Church Chapel" [p.2-3].
Accompanying draft resolutions (with editorial revisions) set forth the response of the Vestry. They resolved that the Managers exclusively hold the care, custody, and control of the Chapel building and grounds, the adjacent houses and lots on Wilcox Street, and all other property belonging to the Chapel, exercising control as fully as the Corporation could, except that they may not alienate, convey, or encumber the property, nor use the corporate seal [p.4]. The Managers were granted power to rent the Wilcox Street houses, collect rents, make repairs, apply revenues to Chapel debts and expenses, and elect officers and appoint agents, while remaining subject to the authority of Christ Church [p.4, p.5-6]. Further resolutions directed the Board of Managers to submit an annual report to the Vestry each Easter Monday on the condition of the Chapel's temporal affairs, and that a copy of the resolutions be transmitted by the Secretary of the Vestry to the Board of Managers [p.5-6].
